Terms of Use
These Terms of Use (“Terms of Use”) govern your access to and use of the Services operated by BIZCO Commerce LLC, doing business as BIZCO Wholesale (“BIZCO Wholesale,” “we,” “us,” or “our”). The BIZCO Wholesale name and the bizcowholesale.com domain are owned by BIZCO Wholesale LLC and are used by BIZCO Commerce LLC under license; BIZCO Commerce LLC operates the Services, sells the products offered through them, and is the party to these Terms of Use and to each agreement described on this page. By accessing or using the Services, or by creating an account, you agree to be bound by these Terms of Use and by the following policies, each of which is incorporated into and made part of these Terms of Use: the Terms of Sale, Delivery Policy, Return & Refund Policy, Product Policy, Transparent Pricing Policy, Product Swap Policy, Reviews Policy, and Privacy Policy. If you do not agree to these Terms, you must not access or use the Services or place an order.
Eligibility
The Services are intended for commercial foodservice businesses. By using the Services, you represent that you are at least 18 years old and that you are accessing the Services on behalf of a business for commercial purposes. You may not use the Services for personal, household, or consumer purposes.
Accounts and account security
Certain features of the Services require an account. You agree that all information you provide is accurate, current, and complete, and that you will keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree not to share your credentials with, or provide account access to, anyone outside your business. You must notify us promptly of any unauthorized use of your account. We may suspend, disable, or terminate your account at our discretion, including if we believe you have violated these Terms.
Acceptable use
You agree not to use the Services to: violate any applicable law or regulation; infringe the rights of others; introduce malware or attempt to gain unauthorized access to the Services or related systems; interfere with or disrupt the Services; or use any automated means to access, scrape, or collect data from the Services without our prior written consent.
Intellectual property
The Services and all content and materials on them — including text, graphics, logos, images, product descriptions, and the BIZCO Wholesale name and brands — are owned by BIZCO Wholesale or its licensors (including BIZCO Wholesale LLC) and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not copy, reproduce, distribute, modify, or create derivative works from any content on the Services without our prior written permission.
Copyright complaints
If you believe that content on the Services — including a customer review, photo, or video — infringes your copyright, you may send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent, Roope Raikaa, at BIZCO Commerce LLC, 5900 Balcones Dr., STE 100, Austin, TX 78731, or by email to support@bizcowholesale.com. Your notice must include: identification of the copyrighted work; identification and the location on the Services of the allegedly infringing material; your contact information; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; a statement, made under penalty of perjury, that the notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf; and your physical or electronic signature. We may remove material alleged to be infringing and may terminate the accounts of repeat infringers.
Product information and availability
We work to keep product descriptions, images, specifications, and pricing accurate, but we do not warrant that this information is error-free, complete, or current. Product information is subject to the Product Policy and Transparent Pricing Policy below. All products are subject to availability, and we may limit, discontinue, or substitute products as described in the Product Swap Policy.
Third-party services
The Services may rely on or link to third-party services, including payment processing providers. We are not responsible for the content, products, or practices of any third party. Your use of a third-party service is governed by that party's own terms and privacy policy.
Disclaimer of warranties
EXCEPT AS EXPRESSLY PROVIDED IN THE TERMS OF SALE OR REQUIRED BY LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZCO WHOLESALE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR A PRODUCT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100). THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification
You agree to indemnify and hold harmless BIZCO Wholesale and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Subject to the dispute-resolution provisions below, any judicial proceeding arising out of or related to these Terms or the Services will be brought exclusively in the state courts located in Denton County, Texas, or in the United States District Court for the Eastern District of Texas, Sherman Division (the federal district court whose district includes Denton County), and each party consents to the personal jurisdiction of those courts.
Except as provided in this paragraph, any dispute arising out of or related to these Terms, the Services, or any order will be resolved through final and binding arbitration in Denton County, Texas before a single arbitrator, administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, including its Expedited Procedures where applicable. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in the small claims (justice) courts of Denton County, Texas if the claim is within that court’s jurisdiction. In addition, either party may seek temporary or preliminary injunctive relief in the courts identified above to protect intellectual property rights or to prevent unauthorized access to or misuse of the Services, pending arbitration. Each party agrees that disputes will be brought only in an individual capacity and not as part of any class or representative action. If the class or representative action waiver in this paragraph is held unenforceable as to a particular dispute, this arbitration provision will not apply to that dispute. This section survives termination of these Terms and closure of your account.
Changes to these Terms
We may modify these Terms and the policies they incorporate at any time. Changes are effective when posted to the Services, and the "Last updated" date will reflect the most recent revision. One exception: where the BIZCO Max Membership Terms & Conditions or the BIZCO Max Referral Program Terms & Conditions promise advance notice for a particular kind of change — such as changes to membership pricing, membership benefits, or Referral Program terms — we will give that notice before the change takes effect, even where the change is made through these Terms or an incorporated policy. Your continued use of the Services after a change takes effect constitutes acceptance of the revised Terms. You should review these Terms periodically.
General
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. These Terms, together with the policies they incorporate and any order you place, constitute the entire agreement between you and BIZCO Wholesale with respect to the Services and supersede any prior or contemporaneous understandings. You may not assign your rights or obligations under these Terms without our prior written consent; we may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. Our failure to enforce any provision is not a waiver of our right to enforce it later. Provisions that by their nature should survive — including intellectual property, warranty disclaimers, limitations of liability, indemnification, and dispute resolution — survive termination of these Terms or closure of your account. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control. You consent to receive notices and other communications from us electronically, including by email to the address associated with your account.
Contact
Questions about these Terms may be directed to support@bizcowholesale.com or by mail to BIZCO Commerce LLC, 5900 Balcones Dr., STE 100, Austin, TX 78731.
Terms of Sale
These Terms of Sale govern all purchases of products through the Services. They are incorporated into the Terms of Use. An active BIZCO Max membership is required to purchase products through the Services, as described in the BIZCO Max Membership Terms & Conditions. By placing an order, including an order for a sample, you agree to these Terms of Sale.
Orders and acceptance
All orders are placed through the Services and are offers to purchase. An order is not accepted until we confirm it and the applicable products depart our facility. We reserve the right to accept, decline, limit, or cancel any order at our discretion, including orders that exceed available inventory or that we believe are fraudulent or in violation of these Terms. If we cancel an order for which you have already paid, we will refund the amount charged for the cancelled items.
Pricing
Prices are stated in U.S. dollars and are subject to change at any time without notice. The price applicable to your order is the price displayed at the time you place the order. Product pricing detail is provided on an estimated basis as described in the Transparent Pricing Policy. In the event a product is listed at an incorrect price due to an error, we reserve the right to cancel the order or to contact you to arrange payment of the correct price, at our discretion, even after an order has been submitted.
Payment
Payment is due at the time of purchase. We accept the payment methods identified at checkout. By submitting payment information, you represent that you are authorized to use the payment method and you authorize us to charge the total order amount, including applicable taxes and delivery charges.
Sales tax
We charge sales tax on taxable orders as required by applicable Texas law. Prices displayed on the Services do not include sales tax unless stated; applicable tax is calculated and shown at checkout.
Tax-exempt and resale accounts
If your business qualifies for a sales tax exemption, you may submit a valid Texas exemption or resale certificate for review by uploading it through your account on the Services (under "Upload Sales Tax Exemption Forms") or by emailing it to support@bizcowholesale.com. It is your responsibility to determine whether your business qualifies for an exemption; if you are unsure, consult a tax professional before claiming one. Please allow 3 business days for us to review your submission.
An exemption does not necessarily cover every product we sell. Whether a product qualifies depends on the type of exemption you hold and how the product is used. For example, a resale exemption generally covers non-reusable items you provide to your customers — such as take-out containers, cups, napkins, and utensils — but generally does not cover products your business uses or consumes itself, such as gloves, trash liners, and cleaning supplies.
- Complete exemption documentation must be on file for your account before exempt status can be applied. A tax ID number alone is not sufficient.
- You are responsible for providing correct, complete, and legible documents and for understanding the rules that apply to tax-exempt and resale purchases. We cannot complete or correct tax documents on your behalf; a document that is incomplete, incorrect, or illegible will not be accepted, and you will be asked to resubmit it.
- Once your account is verified as exempt, your exemption is applied automatically at checkout — but only to products that qualify under it. Products that do not qualify are charged sales tax at checkout even on a verified exempt account, and any tax charged is itemized on your invoice.
- Our classification of products as qualifying or non-qualifying under an exemption is made in good faith based on typical use in the foodservice industry. If you believe a product is classified incorrectly for your situation, contact support@bizcowholesale.com before ordering.
- Keep the email address on your account current and monitored. If we request additional information or documentation and do not receive a reply, we are not responsible for tax charged on orders in the meantime.
Exempt status, once verified, applies to orders placed after verification. In addition, upon request by email to support@bizcowholesale.com, we will refund sales tax charged on orders placed within the 30 days before you submitted your valid certificate, to the extent the exemption would have applied to the products in those orders. For sales tax paid on orders placed outside that 30-day window, you may request a refund directly from the Texas Comptroller of Public Accounts; we will provide any documentation reasonably needed to support that request.
You are solely responsible for ensuring that your business qualifies for the exemption claimed and that any certificate you provide is valid, current, and complete. We may reject any certificate at our discretion, may cancel any order if we determine that a statement made in connection with your claimed exemption may be false or misleading, and may revoke exempt status if a certificate is found to be invalid, expired, or misrepresented. If any exemption you claimed is later determined to be improper, the applicable tax becomes immediately due from you, together with any penalties and interest, and you agree that we may charge the payment method on file for that amount.
Delivery
We deliver to commercial addresses within our active delivery zones, as published on the Services. Delivery timeframes are estimates and are not guaranteed. Risk of loss passes to you upon delivery to the address on the order. You are responsible for providing accurate delivery information and for ensuring that someone is available to receive and inspect the delivery. If delivery cannot be completed because of inaccurate information or because the delivery location is inaccessible, additional charges may apply.
Safety data sheets
Some products we sell are hazardous chemicals under the OSHA Hazard Communication Standard (29 CFR 1910.1200). We provide a Safety Data Sheet (“SDS”) for each of those products.
How we provide them. The current SDS for every hazardous chemical we sell is available on that product’s page on the Services, free of charge and without an account. When you order a hazardous chemical, we also attach the SDS to your order confirmation email, sent to the email address on your account at or before the time the order leaves our facility.
Electronic delivery. By placing an order for a hazardous chemical, you agree to receive Safety Data Sheets electronically at the email address associated with your account, and you confirm that your business is able to open, view, and print PDF documents. Keeping a current email address on your account is your responsibility.
Printed copies. You may request printed Safety Data Sheets at any time, for any reason, at no charge, by emailing support@bizcowholesale.com. We will include a printed copy with your next delivery of that product and with later deliveries until you tell us otherwise. Requesting printed copies does not affect your ability to order from us.
Revised sheets. If a manufacturer issues a revised SDS for a product you buy from us, we will provide the revised sheet with, or before, your first delivery of that product after the revision.
Inspection and discrepancies
You must inspect each order upon delivery. Any shortage, damage, or discrepancy must be reported to support@bizcowholesale.com within 48 hours of delivery. Claims submitted after this window may not be accepted. Where a discrepancy is confirmed, we will provide a replacement, refund, or store credit as described in the Return & Refund Policy.
Product warranties
Where a manufacturer's warranty applies to a product, it is provided by the manufacturer and handled according to the manufacturer's policies. EXCEPT FOR ANY APPLICABLE MANUFACTURER'S WARRANTY, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODUCTS ARE SOLD “AS IS” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. You are responsible for confirming that a product is suitable for your intended use, including compliance with any applicable health, safety, or food-handling codes.
Limitation of liability
The limitation of liability set out in the Terms of Use applies to all purchases and orders and is incorporated into these Terms of Sale.
Delivery Policy
This Delivery Policy describes how we deliver orders. It is incorporated into the Terms of Use. Delivery is available to commercial addresses within BIZCO Wholesale's active delivery zones, as published on the Services.
Standard delivery (included with the BIZCO Max membership)
Standard delivery is included at no additional charge on all orders delivered within our active delivery zones. BIZCO Wholesale operates to a two-calendar-day delivery standard. This is the service level we schedule and staff against; it is a target, not a guaranteed delivery date. For example, an order placed on a Saturday would ordinarily be delivered by the end of the day on Monday. BIZCO Wholesale is not liable for losses arising from a delivery made outside the standard timeframe.
Next-day delivery
Next-day delivery is available for an additional charge on all orders within our active delivery zones. An order placed with next-day delivery selected before 11:59 PM Central Time is intended to be delivered by the end of the following day, whether or not that day is a business day. Orders placed at or after that cutoff are treated as placed on the following day. The next-day delivery charge is shown at checkout before you complete your order. If we do not deliver a next-day order by the end of the following day, we will refund the next-day delivery charge and will make every effort to deliver the order on the next day; this refund is your exclusive remedy for a missed next-day delivery.
Delivery targets are estimates
Delivery timeframes describe our normal targets and depend on the ordered products being in stock, your order clearing payment and any verification, and your delivery address being accurate and accessible. They are targets, not guarantees. We are not responsible for delays or failures to deliver caused by circumstances outside our reasonable control, including weather, road or facility conditions, vehicle or equipment failures, or other events of force majeure. Where a target is affected by such circumstances, we will make reasonable efforts to complete delivery as soon as practicable.
Product availability
All orders are subject to product availability. If an ordered product is unavailable, the Product Swap Policy governs whether a comparable substitute is offered and how it is disclosed.
Risk of loss and inspection
Risk of loss passes to you upon delivery to the address on the order. You are responsible for inspecting each delivery and for reporting any shortage, damage, or discrepancy to support@bizcowholesale.com within 48 hours of delivery, as described in the Terms of Sale and Return & Refund Policy.
Failed or missed delivery
You are responsible for providing accurate delivery information and for ensuring that your location is accessible and someone is present to receive the delivery. If a delivery cannot be completed because of inaccurate information, an inaccessible location, or the absence of a person to accept the order, a redelivery charge may apply. We will contact you if this occurs.
Return & Refund Policy
This Return & Refund Policy applies to products purchased through the Services and is incorporated into the Terms of Use.
Return eligibility
Most stocked products may be returned within 14 days of delivery. Returns are accepted by the full case only, subject to the condition requirements under "Non-returnable products" below. To start a return, select “Make a Return” on the order in your account on the Services, or contact support@bizcowholesale.com. We collect returns through our own delivery operations, either with your next scheduled delivery or at a separately arranged pickup, at no charge to you. Our delivery associate inspects the cases at pickup: cases that meet the condition requirements are collected and your return is processed from there, and cases that do not are left with you. A return is accepted, and a refund is issued, only after this inspection.
Non-returnable products and case condition
For health and safety reasons, the full case is our only returnable unit. A case is returnable only if it is complete and intact: every inner pack, sleeve, wrap, or item originally supplied is present, unused, and sealed in its original, undamaged manufacturer packaging.
A case is not returnable if any inner pack, sleeve, wrap, or item has been opened, unsealed, used, or removed — including where the remaining contents are still sealed. Partial cases are not returnable and carry no credit value. Opening the outer carton alone does not void eligibility, provided the carton remains in resalable condition and the contents are complete and unopened.
Customized, special-order, and clearance products are non-returnable unless they arrive damaged or defective. We identify non-returnable products where practicable.
Damaged, defective, or incorrect products
If a product arrives damaged or defective, or you receive an item you did not order, report it within 48 hours of delivery through the return option on the order in your account, or to support@bizcowholesale.com, and keep the product and its packaging. For damage claims, photographs of the damage are required. We review each claim and, where we need the product returned, pick it up at no charge to you; if we delivered the wrong item, keep the case unopened and we will collect it. Where damage, a defect, or our error is confirmed, we will arrange a replacement or a refund to your original payment method, as described under “Refunds” below.
Refunds
How an approved refund is issued depends on the reason for the return. Where a claim reported within 48 hours of delivery is confirmed (a product that arrived damaged or defective, or an item we delivered in error), the refund is issued to the original payment method; please allow 5 to 10 business days for it to arrive. All other approved returns, including standard returns within the 14-day window, are refunded as store credit to your account. In all cases, any portion of the order that was paid with store credit is returned as store credit. If we are unable to refund the original payment method, the refund is issued as store credit instead; store credit issued in lieu of a refund does not expire, as described below. Because standard delivery is included with your membership, orders carry no separate delivery charge to refund. We refund the next-day delivery charge in full, once per order, when a product arrived damaged or defective or we delivered an item you did not order and you reported it within 48 hours of delivery, when you cancel the entire order before it departs our facility, or when we do not deliver by the end of the following day, as provided in the Delivery Policy. The next-day delivery charge is not refundable on any other return, including a standard return within the 14-day window.
Store credit
This section describes how store credit works wherever it is issued, including through this policy, the BIZCO Max Referral Program, and any promotional credit we may offer.
- Store credit has no cash value and cannot be redeemed for cash.
- Store credit may be applied only toward eligible product purchases through the Services.
- Store credit is non-transferable and is tied to the account to which it was issued. It may not be sold, gifted, or assigned.
- Store credit expires on a rolling 12-month basis: any credit unused for 12 consecutive months from its issue date expires and is removed from the account balance. Store credit issued in lieu of a refund (for example, where the original payment method cannot be refunded) does not expire.
- Where multiple credits exist on an account, the credit that expires soonest is applied first, and refund credit, which does not expire, is applied last; credits with the same expiry date are applied in the order they were issued.
- Additional terms may apply to store credit earned under the Referral Program, as described in the BIZCO Max Referral Program Terms & Conditions.
Product Policy
This Product Policy explains how to interpret the product information on the Services. It is incorporated into the Terms of Use.
Product images
We work to display products accurately, but product images are for illustration and may not depict the exact item, quantity, color, or packaging you receive. Colors may vary depending on your device and screen settings, and packaging may change without notice. Where an exact image is unavailable, we may use a representative image of a similar product. Please review the product description and specifications, rather than relying on the image alone, before ordering.
Specifications and descriptions
Product descriptions, dimensions, and specifications are provided for reference and, where applicable, are based on information supplied by our manufacturers. Minor variations inherent to manufacturing may occur. If you have questions about whether a product meets your requirements, contact support@bizcowholesale.com before ordering.
“Works with” and compatibility
Where we indicate that a product “works with” or is compatible with another item — such as lids that fit a particular container — this information is provided as a convenience and is kept as accurate as practicable. If a product is not listed as compatible, we do not represent that it will work with your item, and we recommend confirming compatibility before ordering.
Samples
Samples may be available for select products; a sample is available when an “Order sample” option appears on the product page. Where samples are not offered, we recommend ordering the smallest available pack size before committing to a larger quantity.
Intended use
Our products are intended for commercial use by foodservice businesses. You are responsible for determining that a product is appropriate and safe for your intended use and for complying with any applicable health, safety, and food-handling requirements.
Hazardous chemicals
Some products we sell are classified as hazardous chemicals. A Safety Data Sheet is available on each of those product pages, and we send it with your order confirmation when you buy one. See “Safety data sheets” in our Terms of Sale for how delivery works and how to request printed copies.
Transparent Pricing Policy
We believe in showing our customers how our pricing works. On many product pages, we display a breakdown of the estimated costs that make up a product's price. This Transparent Pricing Policy explains how to interpret that breakdown. It is incorporated into the Terms of Use.
Pricing detail is an estimate
Any cost breakdown shown for a product — including landed cost, duties, freight, or margin components — represents our good-faith estimate for that product, prepared using the information available to us at the time. It is provided for transparency and educational purposes only. It is not an itemized invoice, and it does not represent the exact cost of any individual unit or order.
Why estimates vary
Our actual costs change over time and depend on factors inside and outside of our control, including supplier pricing, tariff and duty rates, freight and fuel costs, exchange rates, and order volumes. As a result, the estimated breakdown may differ from our actual cost for any given shipment, and the breakdown may not always reflect the most current figures.
The price you pay
The price you pay for a product is the price displayed at checkout at the time you place your order. The estimated cost breakdown does not change, add to, or reduce that price. If there is any inconsistency between an estimated breakdown and the checkout price, the checkout price governs. In the event a product is listed at an incorrect price due to an error, we reserve the right to cancel the order or to contact you to arrange payment of the correct price, at our discretion, even after an order has been submitted.
Product Swap Policy
From time to time, a BIZCO brand product (a product sold under one of our own brands, such as BIZCO Essentials or BIZCO Premium) may be temporarily out of stock. When that happens, we may offer a comparable substitute product so that you can continue to get what you need. This Product Swap Policy explains how substitutions work. It is incorporated into the Terms of Use.
When we offer a substitute
If a BIZCO brand product is unavailable, we may fulfill your order with a comparable product from another brand or manufacturer that is not a BIZCO brand product. We will only do this where we consider the substitute to be of comparable type and quality for the intended use.
How substitutions are disclosed
We will disclose clearly on the product page when a listed product is being fulfilled with a substitute rather than the BIZCO brand product. The images, specifications, and other details shown on the product page may continue to reflect the original BIZCO brand product and may not be updated to describe the substitute. By placing an order for a product identified as substituted, you acknowledge that the item you receive will be a comparable substitute rather than the product shown, and that it may differ from the images and specifications on the product page as described below.
Specifications of substituted products
A substitute product is manufactured by a third party and may differ from the BIZCO brand product shown on the product page — including in brand, packaging, count, appearance, and specifications — while remaining, in our judgment, of comparable type and quality for the intended use. If exact specifications matter for your needs, contact support@bizcowholesale.com before ordering and we will confirm the details of the substitute currently being delivered. If a substitute does not meet your requirements, you may return it in accordance with the Return & Refund Policy where it is eligible for return.
If we cannot offer a substitute
If a product is unavailable and no acceptable substitute is offered, we will notify you and will not charge you for the unavailable item, or will refund it if already charged.
Reviews Policy
We welcome customer reviews of the products you purchase. This Reviews Policy governs any review, rating, photo, video, or other content you submit through the Services. It is incorporated into the Terms of Use. By submitting a review, you agree to this policy.
License to use your review
You retain ownership of the content you submit. By submitting a review, you grant BIZCO Wholesale and its affiliates a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, and sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and create derivative works from your review — including any name, username, images, or video submitted with it — in any media and for any purpose, including marketing and promotion. You represent that you have all rights necessary to grant this license and that your review does not infringe the rights of any third party.
Content standards
You are solely responsible for the reviews you submit. You agree that your review will reflect your genuine, firsthand experience with the product and will be truthful and accurate. You agree not to submit a review that:
- Is fake, fraudulent, AI-generated, or does not reflect your actual experience with the product;
- Is submitted by anyone with an undisclosed financial or personal interest in the product;
- Contains personal or contact information, or the personal information of others;
- Is unlawful, infringing, defamatory, obscene, harassing, threatening, or otherwise objectionable;
- Contains pricing, availability, competitor references, promotional material, or other content unrelated to the product; or
- Covers multiple products in a single review, rather than the product being reviewed.
Our right to moderate
We may, at our sole discretion and without notice, decline to publish, edit for length or clarity, or remove any review that we believe violates this policy or is otherwise inappropriate. We are not responsible for the content of reviews submitted by customers, and reviews reflect the views of the individuals who submit them, not BIZCO Wholesale. We do not remove or suppress reviews merely because they are critical or negative, and we do not condition any incentive on a review being positive, as described below.
Review incentives and store credit
From time to time we offer store credit to encourage customers to review products. Where offered, this credit is available for any qualifying review — positive or negative — and is never conditioned on a review expressing a particular opinion or rating. Current review credit works as follows, per product (determined at the overall product level, not by individual product variation):
- Text review — $2. Available to the first three published reviews containing text on a product.
- Photo — additional $4. Available to the first three published reviews that include a photo of the product.
- Video — additional $10. Available to the first three published reviews that include a video of the product or of the product being demonstrated or reviewed.
A single review that includes text, a photo, and a video may qualify for more than one credit, up to a combined maximum of $16 in store credit per product. Credit is issued after the review is published and is subject to verification.
We reserve the right to withhold or reverse review credit for any review that we determine is fake, does not reflect a genuine experience with the product, is of insufficient quality to be helpful to other customers, or otherwise does not meet this policy. Store credit earned through reviews is subject to the general store credit terms in the Return & Refund Policy, including the rolling 12-month expiration. We may modify, suspend, or discontinue review incentives at any time.
Disclosure of incentivized reviews
Where a review was submitted in connection with a store credit incentive, that fact may be disclosed together with the review. This disclosure helps other customers understand that the reviewer received store credit for submitting a review, regardless of the opinion expressed.

Information automatically collected
In Short: Some information — such as your Internet Protocol (IP) address and/or browser and device characteristics — is collected automatically when you visit our Services.
We automatically collect certain information when you visit, use, or navigate the Services. This information does not reveal your specific identity (like your name or contact information) but may include device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, information about how and when you use our Services, and other technical information. Log and usage data is service-related, diagnostic, usage, and performance information our servers automatically collect when you access or use our Services and which we record in log files. Depending on how you interact with us, this log data may include your IP address, device information, browser type, and settings and information about your activity in the Services (such as the date/time stamps associated with your usage, pages and files viewed, searches, and other actions you take such as which features you use), device event information (such as system activity, error reports (sometimes called "crash dumps"), and hardware settings).
- Device Data. We collect device data such as information about your computer, phone, tablet, or other device you use to access the Services. Depending on the device used, this device data may include information such as your IP address (or proxy server), device and application identification numbers, location, browser type, hardware model, Internet service provider and/or mobile carrier, operating system, and system configuration information.
- Location Data. We collect location data such as information about your device's location, which can be either precise or imprecise. How much information we collect depends on the type and settings of the device you use to access the Services. For example, we may use GPS and other technologies to collect geolocation data that tells us your current location (based on your IP address). You can opt out of allowing us to collect this information either by refusing access to the information or by disabling your Location setting on your device. However, if you choose to opt out, you may not be able to use certain aspects of the Services.
2. HOW DO WE PROCESS YOUR INFORMATION?
In Short: We process your information to provide, improve, and administer our Services, communicate with you, for security and fraud prevention, and to comply with law. We may also process your information for other purposes with your consent.

You can opt out of our marketing emails at any time. For more information, see "WHAT ARE YOUR PRIVACY RIGHTS?" below.

3. WHEN AND WITH WHOM DO WE SHARE YOUR PERSONAL INFORMATION?
In Short: We may share information in specific situations described in this section and/or with the following third parties.
We may need to share your personal information in the following situations:
- Business Transfers. We may share or transfer your information in connection with, or during negotiations of, any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.
- When we use Google Maps Platform APIs. We may share your information with certain Google Maps Platform APIs (e.g., Google Maps API, Places API). We use certain Google Maps Platform APIs to retrieve certain information when you make location-specific requests. This includes: Street address; City; State; ZIP/postal code; and other similar information. A full list of what we use information for can be found in this section and in the previous section titled "HOW DO WE PROCESS YOUR INFORMATION?" Google Maps uses GPS, Wi-Fi, and cell towers to estimate your location. GPS is accurate to about 20 meters, while Wi-Fi and cell towers help improve accuracy when GPS signals are weak, like indoors. This data helps Google Maps provide directions, but it is not always perfectly precise. We obtain and store on your device ("cache") your location. You may revoke your consent anytime by contacting us at the contact details provided at the end of this document. The Google Maps Platform APIs that we use store and access cookies and other information on your devices.
4. DO WE USE COOKIES AND OTHER TRACKING TECHNOLOGIES?
In Short: We may use cookies and other tracking technologies to collect and store your information.
We may use cookies and similar tracking technologies (like web beacons and pixels) to gather information when you interact with our Services. Some online tracking technologies help us maintain the security of our Services and your account, prevent crashes, fix bugs, save your preferences, and assist with basic site functions.
To the extent these online tracking technologies are deemed to be a "sale"/"sharing" (which includes targeted advertising, as defined under the applicable laws) under applicable US state laws, you can opt out of these online tracking technologies by submitting a request as described below under section "DO UNITED STATES RESIDENTS HAVE SPECIFIC PRIVACY RIGHTS?"
Google Analytics
We may share your information with Google Analytics to track and analyze the use of the Services. To opt out of being tracked by Google Analytics across the Services, visit https://tools.google.com/dlpage/gaoptout. 5. HOW LONG DO WE KEEP YOUR INFORMATION?
In Short: We keep your information for as long as necessary to fulfill the purposes outlined in this Privacy Notice unless otherwise required by law.
We will only keep your personal information for as long as it is necessary for the purposes set out in this Privacy Notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements). No purpose in this notice will require us keeping your personal information for longer than twenty four (24) months past the termination of the user's account.
When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.
6. HOW DO WE KEEP YOUR INFORMATION SAFE?
In Short: We aim to protect your personal information through a system of organizational and technical security measures.
We have implemented appropriate and reasonable technical and organizational security measures designed to protect the security of any personal information we process. However, despite our safeguards and efforts to secure your information, no electronic transmission over the Internet or information storage technology can be guaranteed to be 100% secure, so we cannot promise or guarantee that hackers, cybercriminals, or other unauthorized third parties will not be able to defeat our security and improperly collect, access, steal, or modify your information. Although we will do our best to protect your personal information, transmission of personal information to and from our Services is at your own risk. You should only access the Services within a secure environment.
7. DO WE COLLECT INFORMATION FROM MINORS?
In Short: We do not knowingly collect data from or market to children under 18 years of age.
We do not knowingly collect, solicit data from, or market to children under 18 years of age, nor do we knowingly sell such personal information. By using the Services, you represent that you are at least 18 or that you are the parent or guardian of such a minor and consent to such minor dependent’s use of the Services. If we learn that personal information from users less than 18 years of age has been collected, we will deactivate the account and take reasonable measures to promptly delete such data from our records. If you become aware of any data we may have collected from children under age 18, please contact us at support@bizcowholesale.com.
8. WHAT ARE YOUR PRIVACY RIGHTS?
In Short: You may review, change, or terminate your account at any time, depending on your country, province, or state of residence.
Withdrawing your consent: If we are relying on your consent to process your personal information, which may be express and/or implied consent depending on the applicable law, you have the right to withdraw your consent at any time. You can withdraw your consent at any time by contacting us by using the contact details provided in the section "HOW CAN YOU CONTACT US ABOUT THIS NOTICE?" below.
However, please note that this will not affect the lawfulness of the processing before its withdrawal nor, when applicable law allows, will it affect the processing of your personal information conducted in reliance on lawful processing grounds other than consent.
Opting out of marketing and promotional communications: You can unsubscribe from our marketing and promotional communications at any time by clicking on the unsubscribe link in the emails that we send, replying "STOP" or "UNSUBSCRIBE" to the SMS messages that we send, or by contacting us using the details provided in the section "HOW CAN YOU CONTACT US ABOUT THIS NOTICE?" below. You will then be removed from the marketing lists. However, we may still communicate with you — for example, to send you service-related messages that are necessary for the administration and use of your account, to respond to service requests, or for other non-marketing purposes.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with third parties.
Account Information
If you would at any time like to review or change the information in your account or terminate your account, you can:
- Contact us using the contact information provided.
- Log in to your account settings and update your user account.
Upon your request to terminate your account, we will deactivate or delete your account and information from our active databases. However, we may retain some information in our files to prevent fraud, troubleshoot problems, assist with any investigations, enforce our legal terms and/or comply with applicable legal requirements.
Cookies and similar technologies: Most Web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove cookies and to reject cookies. If you choose to remove cookies or reject cookies, this could affect certain features or services of our Services.
If you have questions or comments about your privacy rights, you may email us at support@bizcowholesale.com.
9. CONTROLS FOR DO-NOT-TRACK FEATURES
Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track ("DNT") feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage, no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this Privacy Notice.
California law requires us to let you know how we respond to web browser DNT signals. Because there currently is not an industry or legal standard for recognizing or honoring DNT signals, we do not respond to them at this time.

In Short: If you are a resident of Texas, you may have the right to request access to and receive details about the personal information we maintain about you and how we have processed it, correct inaccuracies, get a copy of, or delete your personal information. You may also have the right to withdraw your consent to our processing of your personal information. These rights may be limited in some circumstances by applicable law. BIZCO Max Membership Terms & Conditions
These BIZCO Max Membership Terms & Conditions (the “Max Terms”) govern the BIZCO Max membership (“BIZCO Max” or the “membership”) offered by BIZCO Commerce LLC, doing business as BIZCO Wholesale (“BIZCO Wholesale,” “we,” “us,” or “our”). The BIZCO Wholesale name is owned by BIZCO Wholesale LLC and is used by BIZCO Commerce LLC under license; BIZCO Commerce LLC is the party to this agreement. By starting a free trial or subscribing to BIZCO Max, you agree to these Terms.
Your use of bizcowholesale.com and the purchases you make through it are also governed by our Terms of Use and the policies it incorporates — including the Terms of Sale, Delivery Policy, Return & Refund Policy, and Product Swap Policy — published at bizcowholesale.com (together, the “Site Policies”). These Max Terms govern the membership itself; the Site Policies govern use of the site and individual orders. In the event of a direct conflict concerning the membership, these Max Terms control.
1. The BIZCO Max membership
What it is
BIZCO Max is a paid monthly membership for eligible foodservice businesses located within BIZCO Wholesale’s active delivery zones, as published at bizcowholesale.com. An active membership is required to purchase products through bizcowholesale.com. Current membership benefits are described in Section 5 and at bizcowholesale.com.
A BIZCO Wholesale account can hold one or more business entities, and each business entity can have one or more delivery locations. Each business entity holds its own Max membership covering its locations. In these Max Terms, “your membership” refers to each Max membership held on your account unless stated otherwise.
Application and eligibility
A membership requires a completed application and our approval. We may approve or decline any application at our discretion and are not required to give a reason; declined applicants may reapply at any time unless we notify them otherwise. Eligibility is limited to foodservice businesses operating within our active delivery zones, which may change from time to time.
The membership is for commercial use by the subscribing business only. Using the membership for personal purchases, or for the benefit of any business other than the subscribing entity and its approved locations, is prohibited.
Locations and add-ons
A membership covers the delivery locations of the business entity that holds it. Across your account, the first covered location is your primary location, billed at $99 per month; each additional covered location is billed at $49 per month, whichever business entity it belongs to. Each location is subject to the same eligibility requirements as the primary location. You can add business entities and delivery locations, and remove locations, through your Account. A location added to a business entity that already holds a membership is charged a prorated fee for the remainder of that membership’s current billing period and then renews with that membership. A business entity added to your account starts its own membership on the day it is added: its first month is charged in full on that day, and that date becomes its monthly billing date. A business entity or location added while your account is on its free trial is not charged until the trial ends, and is billed from that date. Moving a location from one business entity to another, or correcting a location’s address, must be submitted to support@bizcowholesale.com, and we may verify any change.
2. Free trial
Where we offer a free trial, the length of the trial and any conditions are stated at signup. You may cancel at any time during the trial — through your Account or by emailing support@bizcowholesale.com — and you will not be charged. If you do not cancel before the trial ends, your paid membership begins automatically when the trial ends, the payment method on file is charged the monthly fee, and that date becomes your monthly billing date. Unless we state otherwise, each account is eligible for one free trial: you may include multiple business entities and locations when you start your initial trial, but adding a business entity or location later, or opening a new account for one, does not entitle you to another trial.
3. Billing and payment
Monthly fee and automatic renewal
The membership fee is $99 per month for the primary location, plus $49 per month for each additional location. Each membership renews automatically each month on its billing date, and continues to renew until it is cancelled. By subscribing, you authorize us, and any payment processor or billing service acting on our behalf, to charge the payment method on file for the business entity holding the membership on each billing date without further action by you. You are responsible for keeping your payment information current.
Failed payments and account hold
If a renewal charge fails, we, or a payment processor or billing service acting on our behalf, may retry the charge over the following days. While a renewal payment remains unpaid, the business entity’s membership is placed on hold: ordering and membership benefits are paused for that business entity’s locations, though your Account and order history remain accessible. A hold applies only to the membership whose renewal is unpaid; other Max memberships on your account are not affected. To resume a held membership, update your payment method and pay the outstanding renewal; there is no reactivation fee, and the charge is the full monthly fee, not a prorated amount. When a held membership is reactivated, its billing cycle restarts: the date payment is collected becomes its new billing date, and the membership next renews one month from that date rather than on its previous billing date. An account hold is not a cancellation: store credit remains on your account during the hold, and the effect of a hold on your Referral Program participation is described in the Referral Program Terms & Conditions. If a renewal remains unpaid for 15 days, the membership will be cancelled; the consequences of cancellation, including for store credit and the Referral Program, are described in Section 4. We are not liable for losses resulting from an account hold.
No refunds
Membership fees already paid are non-refundable, and no refunds or credits are issued for partial months, unused periods, or periods during which you chose not to place orders. This applies to the base fee and all location add-on fees.
Pricing changes
We may change the monthly fee or location add-on fees with at least 30 days’ written notice before the new pricing takes effect. Continued use of the membership after the effective date constitutes acceptance of the new pricing; if you do not wish to continue at the new price, cancel before the effective date as described in Section 4.
4. Cancellation
Cancellation by you
You may cancel at any time through the cancellation option in your Account, effective when submitted, or by emailing support@bizcowholesale.com, effective when we process it. You can cancel every membership on your account, cancel an individual business entity’s membership, or remove individual locations from a membership. When you cancel a paid membership, it keeps access to membership benefits through the end of the billing period you have already paid for, and it is not charged again; the month you already paid for is its last charge. No refund is issued for the remainder of that period. For as long as any location on your account remains covered by a membership, one location on the account is billed as the $99 primary location; if the current primary location is removed or its membership is cancelled, another covered location becomes the primary location. Cancelling during a free trial is free, as described in Section 2.
Store credit after cancellation
Store credit belongs to your account, not to an individual membership. Any store credit remaining on your account, including referral, review, and promotional credit, is forfeited when your account no longer holds any active Max membership, whether the last membership is cancelled by you or by us. Cancelling one business entity’s membership does not affect your store credit while another Max membership on your account remains active. An account hold for a failed payment is not a cancellation; store credit is preserved during a hold as described in Section 3. The only exception is store credit issued in lieu of a refund under the Return & Refund Policy: that credit is not forfeited, and if your account is left with no active membership while a balance of it remains, contact support@bizcowholesale.com and we will pay that balance out to you.
Free month credits earned under the BIZCO Max Referral Program are treated on the same basis. A free month credit you have earned but not yet used is forfeited when your account no longer holds any active Max membership, and is not reinstated if you later join BIZCO Max again. Full terms are set out in the Referral Program Terms & Conditions.
Cancellation by us
We may suspend or terminate a membership at any time for a violation of these Max Terms or the Site Policies, fraud or misuse, a chargeback of properly billed fees, a location no longer within our active delivery zones, or other conduct we determine to be harmful to BIZCO Wholesale or its customers. In that case, membership access ends on the date of termination, no refund is issued for any unused portion of the current billing period, and remaining store credit is forfeited as described above.
Effect on the Referral Program
BIZCO Max members may participate in the BIZCO Max Referral Program, under which you can refer another foodservice business to BIZCO Max. When an eligible foodservice business you refer signs up and converts to a paid membership, you receive a free month of BIZCO Max, and the referred business receives a one-time store credit on its account. You then earn an ongoing share of that foodservice business’s purchasing on bizcowholesale.com: a percentage of its net product purchases, issued to your account as store credit, for as long as both accounts keep an active Max membership, for up to 36 months. The ongoing earnings tied to each foodservice business you refer are a "revenue-share stream" — you have one stream per referred account. Award percentages, credit amounts, credit expiry, and full eligibility rules are set out in the Referral Program Terms & Conditions, which control in the event of any conflict with this summary.
Participation in the BIZCO Max Referral Program requires an active membership on your account. If a payment hold leaves your account with no active membership, your participation, including any revenue-share streams in which your account takes part, is paused, and it resumes if a membership on your account is reactivated within 15 days, as described in the Referral Program Terms & Conditions; streams not reinstated within that window end permanently. If your account is left with no active membership because its memberships have been cancelled, by you or by us, your participation and revenue-share streams end permanently, and they are not reinstated if you later resubscribe. Each revenue-share stream also ends automatically 36 months after the referral relationship is established, if it has not ended earlier, as described in the Referral Program Terms & Conditions.
5. Membership benefits
Current benefits
An active membership currently includes the following benefits, as more fully described at bizcowholesale.com:
- Free standard delivery on all product orders within our active delivery zones, currently with no minimum order value. We aim to deliver standard orders within two calendar days, and we usually do — but delivery timeframes are targets, not guarantees, as described in the Delivery Policy. Next-day delivery is not included in the membership and is available for an additional charge shown at checkout.
- Access to the BIZCO Max Referral Program, subject to the BIZCO Max Referral Program Terms & Conditions.
Free delivery details
Free delivery applies to standard delivery of product orders within our active delivery zones. We may introduce a minimum order value for free delivery with at least 30 days’ written notice to active members. Approved returns are collected through our delivery operations at no charge, as described in the Return & Refund Policy.
Changes to benefits
We may add, modify, or remove membership benefits. For material changes to existing benefits, we will give at least 14 days’ written notice before the change takes effect. Current benefits are always described at bizcowholesale.com, and continued use of the membership after the effective date of a change constitutes acceptance of it.
6. Account terms
You must maintain accurate account information, including business name, primary contact, and billing details; we are not responsible for failed communications or delivery issues arising from inaccurate information. Account security and login credentials are governed by the Terms of Use.
If your business relocates, notify us promptly at support@bizcowholesale.com. If a location is no longer within our active delivery zones, we may remove that location from the membership or, for a primary location, terminate the membership upon confirmation. No refund is issued for any unused portion of the current billing period.
7. Orders
All purchases are governed by the Site Policies: the Terms of Sale govern orders, payment, and inspection (including the 48-hour window for reporting shortages, damage, or discrepancies); the Delivery Policy governs delivery; the Product Swap Policy governs product availability and substitutions; and the Return & Refund Policy governs returns, refunds, and store credit. Nothing in these Max Terms modifies the Site Policies.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZCO WHOLESALE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE MEMBERSHIP — INCLUDING DELIVERY DELAYS, PRODUCT SUBSTITUTIONS, ACCOUNT HOLDS, OR CHANGES TO BENEFITS — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE MAX TERMS OR THE MEMBERSHIP WILL NOT EXCEED THE GREATER OF THE MEMBERSHIP FEES YOU PAID IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100). CLAIMS RELATING TO PRODUCTS OR ORDERS ARE SUBJECT TO THE LIMITATIONS IN THE TERMS OF USE AND TERMS OF SALE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
9. Governing law and dispute resolution
These Max Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Subject to the dispute-resolution provisions below, any judicial proceeding arising out of or related to these Max Terms or the membership will be brought exclusively in the state courts located in Denton County, Texas, or in the United States District Court for the Eastern District of Texas, Sherman Division (the federal district court whose district includes Denton County), and each party consents to the personal jurisdiction of those courts.
Except as provided in this paragraph, any dispute arising out of or related to these Max Terms or the membership will be resolved through final and binding arbitration in Denton County, Texas before a single arbitrator, administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, including its Expedited Procedures where applicable. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in the small claims (justice) courts of Denton County, Texas if the claim is within that court’s jurisdiction. Each party agrees that disputes will be brought only in an individual capacity and not as part of any class or representative action. If the class or representative action waiver in this paragraph is held unenforceable as to a particular dispute, this arbitration provision will not apply to that dispute. This section survives termination of these Max Terms and cancellation of the membership.
Chargebacks
If you believe a charge is incorrect, contact support@bizcowholesale.com before disputing it with your bank or card issuer — billing errors on our part are corrected promptly. Initiating a chargeback or payment dispute for fees billed in accordance with these Max Terms is a material violation of this agreement and may result in immediate suspension or termination of the membership. We reserve the right to contest any chargeback and to recover fees and costs reasonably incurred in doing so.
10. General
By subscribing, you consent to receive transactional and account-related communications from us by email — including billing notices, renewal reminders, and benefit or pricing change notices — and you may not opt out of transactional communications while your membership is active. Notices sent to the email address on your account are effective when sent.
These Max Terms, together with the BIZCO Max Referral Program Terms & Conditions (if you participate) and the Site Policies, constitute the entire agreement between you and BIZCO Wholesale with respect to the membership and supersede any prior or contemporaneous understandings. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. You may not assign your rights or obligations under these Max Terms without our prior written consent; we may assign ours to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. Our failure to enforce a provision is not a waiver of it. Provisions that by their nature should survive — including payment obligations, limitations of liability, and dispute resolution — survive cancellation or termination.
We may update these Max Terms from time to time. For material changes, we will give notice by email at least 14 days before the changes take effect, and continued use of the membership after the effective date constitutes acceptance of the updated terms.

BIZCO Max Referral Program Terms & Conditions
These BIZCO Max Referral Program Terms & Conditions (the “Program Terms”) govern the BIZCO Max Referral Program (the “Program”) offered by BIZCO Commerce LLC, doing business as BIZCO Wholesale (“BIZCO Wholesale,” “we,” “us,” or “our”). Participation requires a BIZCO Wholesale account with an active BIZCO Max membership, governed by the BIZCO Max Membership Terms & Conditions (the “Max Terms”). In these Program Terms, an “account” means a BIZCO Wholesale account holding a BIZCO Max membership; the “referring account” is the account whose referral code is used, and the “referred account” is the account that signs up with it. By participating in the Program — as either a referring or a referred account — you agree to these Program Terms.
1. How the Program works
BIZCO Max members in good standing — including members on an active free trial — may participate in the Program. To refer a business, share your unique referral code with them. When the referred business signs up for a BIZCO Max membership or free trial using your code, the referral relationship is established. Signing up with a code does not by itself earn every reward: each reward below is issued only when its own conditions are met.
2. Rewards for the referring account
One free month of BIZCO Max ($99 value)
When your referred business becomes a paying BIZCO Max member, you receive a credit equal to one month of your base membership fee ($99), applied automatically to your next billing cycle. Location add-on fees are not covered by this credit. If the referred business subscribes as a paying member directly, the credit is issued at that time; if it starts with a free trial, the credit is issued when the trial converts to a paid membership, and is not issued if the trial ends without converting. This credit is non-transferable, has no cash value, and can be applied only toward your own membership fee. If your account ceases to hold any active Max membership before the credit has been applied to a billing cycle, the credit is forfeited and is not reinstated if you later join BIZCO Max again.
3% ongoing revenue share
You earn store credit equal to 3% of the net product revenue from purchases made by the referred account through bizcowholesale.com. “Net product revenue” means the amount actually paid for products in orders placed through bizcowholesale.com, and excludes membership and location add-on fees, delivery charges (including next-day delivery charges), sample charges, taxes, amounts paid with store credit, and discounts or promotional pricing. Revenue from anything other than product purchases made through bizcowholesale.com is not included.
The revenue share begins when the referred account signs up — whether it starts with a free trial or as a paying member — and accrues on qualifying purchases from that point, including purchases made during a free trial. Credit is issued at the end of each of the referred account’s billing cycles, based on qualifying purchases during that cycle; issuance therefore follows the referred account’s billing cadence, not yours. If the referred account returns products or receives a refund, the revenue attributable to those products is deducted from the revenue base; where credit has already been issued on that revenue, the deduction is applied against future credit.
The revenue share applies to qualifying purchases across all locations on the referred account, including locations added after the referral was established, subject to the eligibility rules in Section 4. Each referred account is treated as a single referred entity regardless of how many locations it contains.
Revenue share credit issued in respect of any single referred account is limited to $10,000 in each Program Year for that referred account. A "Program Year" is the twelve-month period beginning on the date the referral relationship is established and each successive twelve-month period thereafter. Once $10,000 in revenue share credit has been issued in respect of a referred account within a Program Year, no further revenue share credit accrues in respect of that account for the remainder of that Program Year; accrual resumes at the start of the next Program Year, provided the stream is otherwise active. Reaching this limit pauses accrual only and does not terminate the stream. Deductions applied under the refund and return provisions above reduce the total counted toward the limit for the Program Year in which the deduction is applied.
Each revenue share stream runs for a maximum of 36 months from the date the referral relationship is established, as described under "Stream duration" in Section 5.
3. Rewards for the referred account
The referred account receives $100 in store credit, issued when it signs up for a BIZCO Max membership or free trial using a valid referral code. The credit may be applied toward product purchases through bizcowholesale.com. It is non-transferable, has no cash value, and may not be combined with promotional pricing, discount codes, or other offers unless we state otherwise at the time of the promotion. If a free trial ends without converting to a paid membership, the membership ends and any unused credit is forfeited, as described in the Max Terms.
4. Eligibility
Who can refer
Any account in good standing may refer other foodservice businesses, including accounts on an active free trial. We reserve the right to suspend or revoke Program access for any account at our discretion.
Who can be referred — new customers only
Program rewards are available only where the referred business is a new BIZCO Max customer, and this requirement applies to both sides: if the referred business is not an eligible new customer, neither the referred account nor the referring account earns any Program benefit.
New-customer status is assessed at the location level, by physical address, and one ineligible location disqualifies the whole account: if any location associated with the referred account has previously held a BIZCO Max membership — at any point in the past, regardless of current account structure or ownership — the entire referred account is ineligible. An ineligible referred account receives no signup credit, and the referring account earns neither the free month nor the revenue share.
This ineligibility applies to being referred only. An account containing a location with prior membership history may still refer other businesses and earn referring-side rewards, provided it is otherwise in good standing.
If a referred account with an active revenue share stream later adds a location that has previously held a BIZCO Max membership, we reserve the right to terminate that referral stream entirely. This prevents the new-customer requirement from being circumvented by adding previously subscribed locations to a referred account.
5. Program terms
Active membership requirement. The revenue share stream is active only while the referring account and the referred account each hold at least one active BIZCO Max membership. Cancelling one business entity’s membership does not affect the stream while another membership on that account remains active. If either account ceases to hold any active membership for any reason (voluntarily, by us, or following non-payment as described below), the stream is permanently terminated and is not reinstated, even if the account later resubscribes. Credit accrued on qualifying purchases made while the stream was active is issued on the normal schedule, subject to the store credit terms below.
Membership holds and the 15-day window. A hold placed on a BIZCO Max membership for a failed payment is not a cancellation. If a hold leaves either account with no active membership (as described in the Max Terms), the revenue share stream is paused and no credit accrues during the hold. If a membership on that account is reactivated within 15 days, the stream resumes going forward. If it is not, including where the membership is cancelled after 15 days of non-payment, the stream is permanently terminated.
Stream duration. Each revenue share stream ends automatically 36 months after the date the referral relationship is established, if it has not already ended under these Program Terms. Credit accrued on qualifying purchases made before the stream ends is issued on the normal schedule; no credit accrues afterward. The end of a stream under this provision does not affect either account’s membership or its other Program eligibility, including the referring account’s ability to refer other businesses.
Termination of individual streams. BIZCO Wholesale may end any individual revenue share stream at any time, for any reason, upon written notice to the affected accounts — including at the request of either account in the stream. Credit accrued on purchases made before the stream ends is issued on the normal schedule; no credit accrues afterward. Ending a stream does not otherwise affect either account’s membership or Program eligibility.
Consent to purchase-volume disclosure. The revenue share is calculated from the referred account’s purchases, so the store credit issued to the referring account necessarily reveals information about the referred account’s purchase volume. By participating in the Program — as a referring or referred account — you consent to this disclosure for as long as the stream is active. If you no longer want this information shared, you may ask us to end the stream by contacting support@bizcowholesale.com, as described above.
Store credit. Store credit earned through the Program — including the $100 signup credit and revenue share credit — expires on a rolling 12-month basis: credit unused for 12 consecutive months from issuance expires and is removed from the account balance. Program credit is also forfeited when the membership on which it sits ends, as described in the Max Terms. (Store credit issued in lieu of a refund under the Return & Refund Policy is not Program credit and does not expire.) Program credit is otherwise subject to the general store credit terms in the Return & Refund Policy, is non-transferable, is tied to the account to which it was issued, has no cash value, and may not be sold, gifted, or assigned.
Free month credits. A free month credit earned under Section 2 that has not been applied to a billing cycle is forfeited when your account ceases to hold any active Max membership, whether the last membership is cancelled by you, by us, or following non-payment. A forfeited credit is not reinstated if you later join BIZCO Max again. A hold placed on a membership for a failed payment is not a cancellation, and free month credits are preserved during a hold. Cancelling one business entity’s membership does not affect your free month credits while another Max membership on your account remains active.
Referral relationships are not transferable. The referral relationship — including the revenue share stream — is tied to the specific accounts through which it was established. If a business changes ownership, the incoming owner must open a new account; the referral relationship does not carry over and is permanently terminated at the point of ownership transfer. Referral relationships and revenue share streams may not be transferred to a different account under any circumstances.
One referral per account. Each account may be referred only once. The first valid referral code used at signup governs the referral relationship for that account, and an account that has been referred cannot be referred again under a different code.
No stacking with promotions. Store credit earned through the Program may not be combined with promotional pricing, discount codes, or other offers unless we state otherwise at the time of the promotion.
Program modification.
We may modify, suspend, or terminate the Program, or amend these Program Terms — including accrual rates, reward amounts, caps and limits, stream duration, and eligibility requirements — effective 30 days after written notice is sent to the email address associated with your account. Changes apply prospectively to all referral relationships and revenue share streams, including those established before the effective date, with respect to credit accruing on or after that date. Store credit accrued before the effective date — meaning credit calculated on qualifying purchases made before that date, whether or not yet issued — is honored under the terms in effect when those purchases were made, subject to the expiry and forfeiture terms above. If you do not wish to be bound by an amendment, your sole and exclusive recourse is to cease participation in the Program and to request termination of your revenue share streams in accordance with the "Termination of individual streams" provision of this Section 5. Your continued participation in the Program on or after the effective date of an amendment constitutes your acceptance of that amendment. To the extent any notice provision of the Max Terms would otherwise apply to a modification of the Program or an amendment of these Program Terms, this provision controls.
Audit and reversal. We may review referral activity and reverse or withhold credit issued in error or in connection with activity that violates these Program Terms. We will notify you in writing if credit on your account is reversed.
Fraud and abuse. Any attempt to game, manipulate, or abuse the Program — including self-referral, coordinated referral rings, misrepresentation of new-customer status, or publishing referral codes on coupon or deal sites or otherwise distributing them to the general public — will result in forfeiture of all accrued Program credit and may result in account suspension or termination. By participating, you represent that your referrals are made in good faith to genuinely new, unaffiliated businesses.
Taxes; relationship of the parties. You are responsible for any tax consequences of rewards you receive under the Program. Participation does not create any partnership, agency, employment, or fiduciary relationship between you and BIZCO Wholesale, and Program rewards are not compensation for services.
Governing terms and disputes. Participation in the Program is subject to these Program Terms, the BIZCO Max Membership Terms & Conditions, and the policies published at bizcowholesale.com, including the store credit terms in the Return & Refund Policy. Any dispute arising out of or related to the Program is resolved as provided in the Max Terms, including their governing law, venue, and arbitration provisions. In the event of a conflict between these Program Terms and any other communication regarding the Program, these Program Terms govern.
